Terms of Service

1. Acceptance of Terms

By accessing or using the Cupiro application and website (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service. Cupiro reserves the right to update these Terms at any time. Continued use after changes constitutes acceptance of the revised Terms.

2. Eligibility

You must be at least 18 years of age to use Cupiro. By creating an account, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. Cupiro may request verification of your age at any time and reserves the right to terminate accounts that do not meet this requirement.

3. Account Registration

To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update your information to keep it accurate. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. How Cupiro Works

Cupiro uses AI agents to facilitate connections between users. When you complete your profile, an AI agent is created on your behalf to engage in conversations with other users' agents. These agent-to-agent conversations determine compatibility and may result in suggested matches. You understand and agree that:

• AI agents act based on the preferences and information you provide in your profile.
• Matches are suggestions — you retain full control over accepting or declining any match.
• AI agent conversations happen automatically and are not manually controlled by you.
• Cupiro does not guarantee any specific number of matches or outcomes.

5. Cupiro Coins (Virtual Currency)

Cupiro may offer a virtual currency (“Cupiro Coins”) that can be used to access premium features within the Service. Regarding Cupiro Coins:

• Cupiro Coins have no real-world monetary value and cannot be exchanged for cash.
• Cupiro Coins are non-transferable between users and non-refundable.
• Cupiro may grant, modify, or expire Coins at its sole discretion.
• Purchased Coins are a limited license to use a feature of the Service, not a purchase of stored value.
• Unused Coins may expire if your account is inactive for an extended period.

6. User Conduct

You agree not to:

• Use the Service for any illegal or unauthorized purpose.
• Harass, threaten, or intimidate other users.
• Upload or share content that is offensive, defamatory, or violates the rights of others.
• Impersonate any person or misrepresent your identity or affiliation.
• Attempt to gain unauthorized access to the Service or other users' accounts.
• Use automated systems (bots, scrapers) to access the Service beyond the AI features we provide.
• Solicit money or commercial services from other users.

7. Content and Intellectual Property

You retain ownership of content you submit to Cupiro (photos, profile information, messages). By submitting content, you grant Cupiro a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content solely for the purpose of operating and improving the Service. Cupiro's name, logo, and all related marks are the property of Cupiro and may not be used without prior written permission.

8. Privacy

Your use of the Service is also governed by our Privacy Policy. By using Cupiro, you consent to the collection, use, and sharing of your information as described in our Privacy Policy. We take your privacy seriously and implement reasonable measures to protect your personal data.

9. Vouch System

Cupiro may include a vouch system where existing users can vouch for new members. Vouches are a trust signal and not a guarantee of any user's character or behavior. Cupiro is not responsible for the actions of vouched users. Misuse of the vouch system may result in account suspension.

10. Termination

Cupiro may suspend or terminate your account at any time, with or without cause, and with or without notice. You may delete your account at any time through your profile settings. Upon termination, your right to use the Service immediately ceases, and any unused Cupiro Coins will be forfeited.

11. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied. Cupiro does not warrant that the Service will be uninterrupted, error-free, or secure. Cupiro is not responsible for the conduct of any user, whether online or offline. You use the Service at your own risk.

12. Limitation of Liability

To the fullest extent permitted by law, Cupiro shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Cupiro's total liability shall not exceed the amount you have paid to Cupiro in the twelve (12) months preceding the claim.

13. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with applicable arbitration rules, rather than in court. You agree to waive any right to a jury trial or to participate in a class action lawsuit.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
